I. General Terms

1. Terms of User Agreement

This User Agreement describes the terms and conditions applicable to users who wish to use the services and resources offered by Urshelf, LLC. Terms “we”, “our”, “Urshelf”, “urShelf.com” and “Urshelf, LLC” refer to all resources, websites and sub domains of urShelf.com, owned by Urshelf, LLC registered in the state of New Jersey, USA. You must read and agree with all of the terms listed in the user agreement and privacy policy to become a member of Urshelf, LLC. If you do not accept the conditions listed in this user agreement, privacy policy, along with any amendments to these, you may not become a member of urShelf.com. We reserve the right to make changes and amendments to our policies and services without written consent from the user. All proposed amendments will be available for viewing on our website and a notification will be emailed to registered users when they become available. These changes shall automatically be effective 14 days after they are initially posted on urShelf.com. If you are not in agreement with any of the amendments, you may terminate your membership with us before, during, or after the amendment goes in effect. This user agreement cannot otherwise be amended except in writing, signed both by the user and Urshelf, LLC.

2. Venue

2.1. Venue Terms

urShelf.com is an online venue for trading books and does not fall under definition of an auctioneer. We provide resources for users to trade in an “auction-style” format, but are not involved with either the buyer or seller, do not have any input on pricing of an item, and do not have legal ownership of any item at any given point of the transaction. We do not and cannot promise, on behalf of the buyer or seller, that they will complete a transaction as agreed upon between the members. We also do not assume liability of the quality, safety, or legality of any item listed on the site. However, precautionary steps are taken to verify the users and their information to protect our users. Users may list their books in an “auction-style” setting or use a fixed price sale option to sell their books.

2.2. Release and Liability

Since we are only a venue, in the event of a dispute among one or more users on urShelf.com, you release Urshelf, LLC and all employees and/or officers of Urshelf, LLC and its affiliates, from any claims, demands, damages of any kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, resulting from or in any way associated with these disputes.

3. Information

We do not control information available on our website from users. As a result, information may be offensive, harmful, deceitful, or inaccurate. By agreeing to these terms for our site, you accept these risks. If you do find anything offensive, harmful, deceitful or inaccurate we suggest that you report to Urshelf, LLC, however we do not guarantee to take an action as proposed by your report.

II. Member Terms

1. Membership

You must be at least 18 years of age to be a fully independent member. If you are under 18 years of age, you must have supervision by a parent or legal guardian to become a member of urShelf.com. All users who have been temporarily or permanently suspended from urShelf.com are not eligible to apply for new membership. You must be legally able to form binding contracts under applicable law. Lastly, your membership account and any or all applicable parts of your account, such as your membername, referral ID or feedback, may not be sold or transferred to any other party for any reason. From this point on, let it be known that the term membername and referral ID are referring to the same entity on any or all Urshelf, LLC material, including anywhere on this site, www.urShelf.com.

2. Member Account

If you choose to sign up as a member with Urshelf, LLC, you will be asked to create a membername and a password that will allow you to access your account. It is your responsibility to maintain the confidentiality of your account and you will be held responsible for all activities that occur within your account. Urshelf, LLC will never ask for your sensitive information, such as password, credit card number, or bank account number through email. Forward any suspicious looking emails asking for such information to abuse@urshelf.com. As a member, you also agree to immediately notify Urshelf, LLC of any unauthorized use of your account. Urshelf, LLC cannot and will not be held liable for any loss or damage as a result of your failure to comply with previously stated terms.

3. Identity Verification

Urshelf, LLC does its best to verify the identity of all users. However, since verifying identity on the Internet is a difficult task, we cannot and do not confirm user identity. We offer a messaging system on our site so that you can make contact with the seller before you start the bidding or buying process of any item. We encourage you to contact the seller before bidding on or buying any item on this site. It is the responsibility of the user to verify credibility of other users. Urshelf, LLC only verifies that member names appearing on our website are valid and active members of urShelf.com.

4. Fees and Services

urShelf.com is completely free to use for Standard Members. urShelf Vendors pay an annual fee, which grants them access to Vendor Tools and entitles them to sell an unlimited amount of books commission free.

6. Affiliation

6.1 User Affiliation

Urshelf, LLC and you are independent contractors, and no agency, affiliation, partnership, joint venture, employee-employer, or franchiser-franchisee relationship is intended or created by this agreement, even through the referral program.

6.2 Advertisers and Third Party Affiliation

UrShelf does not hold any responsibility for any material directly or indirectly posted by an advertiser or any other third party. This includes material found by following any third party links from our website. You must contact the third party involved in case you find any such material posted that may conflict with your interest with and beyond our website.

7. Bidding

7.1 Bidding Terms

As a bidder, you are obligated to complete any transaction for an item, including any payment due if you are the eligible buyer. You become the eligible buyer of the item by bidding or other means, provided the bid meets the minimum bid posted, the reserve price is met (if a reserve price is set), and the item listed does not violate any terms listed in this agreement or is unlawful in your geographical area. You become the legal owner of an item upon physical receipt of the item, unless both you and the seller come to another agreement.

7.2 Fraudulent Bidding

Fraudulent bidding, referred to as shill bidding or bid padding, is not permitted by Urshelf, LLC and, in some cases, is also a crime. It is not permitted for you to bid on your own items acting as another user. Urshelf, LLC does not permit you to have friends, family members, or acquaintances anonymously bid on items you are selling for the sole purpose of raising the price. If it is found that you are engaging in these activities, your account will be terminated and you may even be prosecuted by law.

8. Selling

8.1 Listing

You must be legally able to sell items that you list on UrShelf.com. All listed items must be in an appropriate category and contain only information pertinent to the item listed. You are responsible for any legality associated with the sale, including, but not limited to, all applicable taxes. In addition, any images submitted with a listing must not be copyrighted or be in the process of becoming copyrighted.

8.2 Bids

If you receive at least one bid above your minimum bidding price or your reserve price is met (if you set a reserve price), you are obligated to sell your item to the highest bidder unless the buyer cannot meet the terms of your listing, such as payment, or you cannot authenticate the buyer’s identity. If your listing is a multiple item listing, you must sell the quantity available to the highest bidders and if you set a reserve amount, you must sell the quantity available to the highest bidders above the reserve amount.

8.3 Fraud

Urshelf, LLC reserves the right to suspend or terminate your account if we suspect that you have engaged in fraudulent activities in connection with urShelf.com.

8.4 Manipulation

Under no circumstances may you, the bidder or seller, manipulate the price of any item or interfere with any other user’s listings or transactions.

9. Feedback

UrShelf encourages all users to give genuine and accurate feedback to other users with whom they perform transactions. This is the only method used to assess credibility of a user of urShelf.com. Feedback is rated on a scale from 0 to 10, with 10 being the highest. Your account may become suspended or terminated if you continuously receive extremely low feedback (0-3).

10. Privacy

We feel that the privacy of our users is a very important matter. As a result, UrShelf does not sell or rent personal information to any third parties without your explicit consent. We will only use your information as described in the privacy policy.

11. Advertisement and Links

Urshelf, LLC, third party, or advertisements may provide links to other sites or resources on the Internet. We have no control over such sites and resources and you agree that Urshelf, LLC is not responsible for the availability of such external sites or resources. Urshelf, LLC does not endorse and cannot be held responsible or liable for any content, advertising, or other material on or available from these sites or resources. You agree that Urshelf, LLC is not responsible or liable, directly or indirectly, for damages or loses from these sites or resources.

12. Legal Compliance

You shall comply with all applicable domestic, state, federal and international laws, statues, ordinances, and regulations regarding your use of our service. This also includes bidding on, listing, purchasing, solicitation of offers for purchase, and sale of items.

13. Termination

You agree that Urshelf, LLC reserves the right and may, under certain circumstances and without prior notice, immediately terminate your account. If your membership has been terminated, you will be denied access from using our site and services and cannot re-register, this includes under a different membername.
